Compliance & Registrant Regulation Branch Regular, Full time Closing Date: January 24, 2024 The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, adjudication and enforcement work. The OSC also contributes to national and global securities regulation development. The Compliance and Registrant Regulation (CRR) Branch oversees the dealers, advisers and investment fund managers that the public relies upon when investing in securities. Using a risk-based approach, CRR focuses on initial and ongoing registration and compliance reviews of registrants. CRR also develops significant policy/legislative initiatives affecting registered firms and individuals, at both the Ontario and national levels. The branch consists of integrated, multi-disciplinary teams including professional staff (chartered accountants and lawyers), registration officers (corporate and individual), and support staff. Reporting to the Registration Supervisor, the Individual Registration Officer (IRO) will do the following: Analyze whether to recommend granting the initial or ongoing registration of dealing representatives (and approving officers and directors of registered firms) within published service standards, or recommend other regulatory action such as applying terms and conditions to an individual’s registration, by reviewing individuals’ proficiency, integrity, financial soundness, conflicts of interest, criminal charges, instances of regulatory non-disclosure, and any complaints or investigations, as applicable; Review dealing representative proficiency exemption applications and provide in-depth analysis to grant or refuse such applications; Prepare effective memoranda (with supporting evidence) to document registration suitability or escalate identified concerns for further review to other teams, including referrals to the CRR Registrant Conduct and the operational teams; Liaise with other OSC branches, regulators, and market participants on matters relating to applicants/registrants; Communicate effectively regarding responses to requests for information, decisions and registration process information to market participants and other stakeholders; Actively participate in interviews with applicants/registrants to address concerns and provide registration related guidance as required; Research and conduct relevant checks (detrimental, registration history, etc.) on applicants/registrants and effectively communicate findings; Document work product and communications in NRD and/or OSC databases in a timely manner; and Assist in improving processes and procedures and suggest ways to enhance efficiency within the team. Skills & Qualifications An undergraduate degree or 3-year community college diploma in a relevant discipline. A good understanding of the securities and investment industry and/or a background in financial or legal services. Minimum of 3 years’ work experience in the capital markets industry and knowledge of registration matters. A proactive contributor with good judgement, and well-developed interpersonal, oral and written communication skills with both internal and external stakeholders. Ability to think critically and analytically, using good investigative and problem-solving skills to collect and organize information and recommendations in memoranda. Excellent organizational skills. Ability to handle high volumes with various levels of complexity while prioritizing tight deadlines. Ability to quickly adapt to changing rules, processes and procedures to meet evolving industry needs. Completion of industry-related courses such as Canadian Securities Course is an asset.
